The Terms and Conditions stated therein (collectively, the "Agreement") constitute a legal agreement between you and Mr Sausage Limited(“the Company”, “we”, "our") stating the Terms and Conditions that govern your use of any services and properties such as websites or applications (“the Platform”) owned and operated by the Company. In order to use the services and properties of the Company, you must agree to the Terms and Conditions that are set out below. By using or receiving any services supplied to you by the Platform, and downloading, installing and/or using the Platform, you hereby expressly acknowledge and agree to be bound by the Terms and Conditions set forth in this Agreement. If you do not agree to these Terms and Conditions, do not access or use the Platform. The Company reserves the right to update and/or modify the Terms and Conditions of this Agreement at any time, effective upon posting of this Agreement on the Platform. Additionally, the Company reserves the right to refuse access to and use of the Platform under this Agreement. 1.Services

1. Services

1.1 Scope of Services

We grant you a limited, non-exclusive, non-transferable right to access and use the services provided by budget ai in accordance with these Terms (“Services”). The Services include artificial intelligence–powered features designed to assist users in recording personal financial data, tracking expenses, managing budgets, and supporting financial planning and analysis.

The Services process user-provided information (the “Input”) using automated computational and analytical methods to generate corresponding results, insights, or recommendations (the “Output”), which may include text, numerical summaries, tables, charts, or other data representations.

The Services are provided solely through our application or platform and do not include, expose, or permit access to any application programming interfaces (APIs), software development kits (SDKs), or third-party AI services.

1.2 Service Operation and Information

We provide standardized and unified Services to support users in effectively using the product and to assist in complying with applicable laws and regulations. Information relevant to the use of the Services, including functional descriptions, usage guidelines, and updates, may be provided through in-app notices, our website, help documentation, or other reasonable communication channels.

1.3 Service Changes and Evolution

Due to the evolving nature of artificial intelligence technologies, financial tools, and applicable legal or regulatory requirements, we may from time to time add, update, modify, suspend, or discontinue certain features or aspects of the Services. This may include changes to functionality, methods of processing, performance, or availability.

Where such changes materially affect user rights or obligations, we will provide reasonable notice via in-app notifications, website announcements, or email. Continued use of the Services after such changes take effect constitutes acceptance of the revised Services.

1.4 Availability and Jurisdiction

We do not guarantee that the Services will be available in all jurisdictions or remain available in any specific jurisdiction. Features, functionality, or availability of the Services may vary depending on location, regulatory requirements, or operational constraints.

2.Accounts

2.1 The Open Platform service and the web version service use the same account. You should register, log in, and use the account according to the requirements of the "budget ai Terms of Use", and comply with the legal regulations and account management requirements in the Terms of Use.

3.Requirements and Restrictions

3.1 User Conduct and Lawful Use

As a user of budget ai, you agree to comply with these Terms of Use and all applicable laws and regulations. You shall use the Services in accordance with principles of voluntariness, equality, fairness, and good faith, and shall not:

Use the Services for any unlawful, fraudulent, deceptive, or improper purpose
Infringe upon the legitimate rights or interests of others
Seek improper gains through misuse of the Services
Interfere with, disrupt, or compromise the normal operation, security, or integrity of the platform or related systems

You are solely responsible for ensuring that your use of the Services complies with applicable legal and regulatory requirements in your jurisdiction.

3.2 Nature and Limitations of the Services

budget ai provides automated, AI-assisted tools intended to support expense recording, budgeting, and personal financial planning. The Services generate outputs based on user-provided inputs and predefined computational logic.

You acknowledge and agree that:

The Services are assistive tools only and do not constitute financial, investment, tax, legal, or professional advice
Outputs are generated automatically and may contain inaccuracies, omissions, or limitations
budget ai does not determine, control, or guarantee user decisions, financial outcomes, or real-world results

You remain solely responsible for how you interpret, rely on, or act upon any output generated by the Services.

3.3 Personal Data and User Responsibilities

When using the Services, you may input personal or financial information. You represent and warrant that you have the lawful right to provide such information and that it does not violate any applicable laws or third-party rights.

budget ai processes personal data in accordance with its Privacy Policy and applicable data protection laws. Where required by law, your consent or another lawful basis will be obtained prior to processing.

You may exercise your data subject rights, including access, correction, deletion, or restriction of processing, in accordance with applicable laws and our Privacy Policy. Requests may be submitted through the contact methods specified in Section 10, and we will respond within legally required timeframes.

3.4 Security, Misuse, and Prohibited Activities

You shall not attempt to:

Circumvent, disable, or interfere with security-related features
Access or attempt to access data, systems, or accounts not authorized to you
Use automated scripts, scraping tools, or abusive usage patterns that may degrade system performance
Misuse the Services in a manner that could cause data security risks, service instability, or reputational harm

budget ai may implement technical and organizational measures, including monitoring, rate limiting, security controls, and incident response mechanisms, to protect the integrity, confidentiality, and availability of the Services. We reserve the right to suspend or terminate access in cases of suspected misuse, abuse, or violation of these Terms.

4.Inputs and Outputs

4.1 User Inputs

You are solely responsible for all information, data, and content that you input into the Services (“Inputs”). By submitting Inputs to budget ai, you represent and warrant that:

You have all necessary rights, authority, and permissions to provide such Inputs
The Inputs are accurate to the best of your knowledge
The submission and processing of the Inputs do not violate any applicable laws, regulations, or third-party rights

You acknowledge that budget ai processes Inputs solely for the purpose of providing the Services and that inaccurate or incomplete Inputs may result in inaccurate or incomplete Outputs.

4.2 Outputs and User Responsibility

The Services generate automated results, summaries, insights, or recommendations (“Outputs”) based on your Inputs and system logic.

You acknowledge and agree that:

Outputs are generated automatically and may contain errors, omissions, or limitations
Outputs are provided for informational and assistive purposes only
You are solely responsible for reviewing, validating, and deciding whether to rely on any Output

budget ai does not guarantee the accuracy, completeness, or suitability of Outputs for any particular purpose.

4.3 Ownership and Usage Rights

Subject to applicable law:

You retain all rights, title, and interest in the Inputs you submit to the Services.
To the extent permitted by law, budget ai grants you a non-exclusive, royalty-free right to use, store, and display the Outputs generated for your personal and non-commercial use within or in connection with the Services.
Outputs are provided solely for your personal financial management purposes and may not be represented as professional advice or redistributed as an independent service or product.

Nothing in these Terms transfers ownership of budget ai’s underlying technology, models, algorithms, or system logic to you.

5.Intellectual Property, Personal Data and Other Rights

5.1 Intellectual Property Ownership

Each party retains ownership of its respective intellectual property rights as they existed prior to the use of the Services. Nothing in these Terms transfers, assigns, licenses, or otherwise conveys ownership of intellectual property rights from one party to the other, except as expressly stated.

For the avoidance of doubt, all intellectual property rights related to budget ai, including but not limited to its software, algorithms, models, system architecture, user interface, design elements, databases, workflows, and underlying technology, are owned by or licensed to budget ai. No rights to such intellectual property are granted to you other than the limited right to use the Services in accordance with these Terms.

5.2 Trademarks and Brand Features

All trademarks, service marks, trade names, logos, domain names, URLs, and other brand features associated with budget ai are the exclusive property of budget ai or its licensors.

Without prior written permission, you shall not:

Use, display, reproduce, or modify any budget ai brand features
Register or attempt to register any trademarks, domain names, social media accounts, or other identifiers that are identical or confusingly similar to budget ai
Imply endorsement, partnership, sponsorship, or affiliation with budget ai beyond ordinary personal use of the Services

Any unauthorized use of budget ai brand features may result in suspension or termination of access to the Services and other legal remedies.

5.3 Personal Data and Privacy

budget ai collects and processes personal data in accordance with its Privacy Policy and applicable data protection laws. The Privacy Policy forms an integral part of these Terms and explains how personal data is collected, used, stored, and protected.

By using the Services, you acknowledge and agree that:

budget ai acts as the data controller for such personal data, unless otherwise stated

If you choose to export, share, or otherwise use data generated through budget ai outside the Services, you are solely responsible for complying with applicable privacy and data protection laws in relation to such use.

6.Fee and Payment

Your continued use of the Paid Services after such changes take effect constitutes acceptance of the revised pricing or service terms.

6.3 Billing, Refunds, and Cancellations

Before completing any purchase, you are responsible for carefully reviewing the applicable fees, billing cycle, and payment details. You acknowledge that failure to understand pricing or billing terms does not constitute grounds for automatic refunds.

Refunds, if any, will be handled in accordance with:

The refund and cancellation policies of the platform through which the purchase was made (e.g. Apple App Store, Google Play Store), where applicable.

Unless otherwise required by law:

Fees already paid for elapsed subscription periods are non-refundable
Partial refunds for unused time or features are not guaranteed
One-time purchases are generally non-refundable once delivered

6.4 Lawful Use of Funds

You represent and warrant that all payments made in connection with budget ai are lawful and authorized. We reserve the right to cooperate with payment processors, financial institutions, or government authorities where required by law, including taking reasonable measures such as suspending access to the Services in cases of suspected fraud, unauthorized transactions, or unlawful activity.

7.Disclaimer of Warranties, Limitations of Liability, and Indemnity

7.1 Enforcement and Account Actions

If you violate these Terms, applicable laws, or engage in misuse of the Services, budget ai reserves the right, at its sole discretion and to the extent permitted by law, to take appropriate measures, including but not limited to:

Issuing warnings or notices
Requiring corrective actions within a specified timeframe
Restricting, suspending, or terminating access to certain features or the Services
Deleting or limiting access to relevant data or content
Preventing re-registration or further use of the Services

Where required by law or reasonably necessary, budget ai may retain relevant records and cooperate with competent authorities in investigations involving suspected unlawful or illegal activities.

You are solely responsible for any legal liabilities, claims, demands, or losses arising from your violation of these Terms or applicable laws. To the extent permitted by law, you agree to compensate budget ai for reasonable costs incurred in protecting its rights, including legal fees and enforcement expenses.

7.2 Disclaimer of Warranties

The Services are provided on an “as is” and “as available” basis. To the maximum extent permitted by applicable law, budget ai disclaims all warranties, representations, and conditions, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, accuracy, and non-infringement.

Without limiting the foregoing, budget ai does not warrant that:

The Services will meet your expectations or requirements
The Services will be uninterrupted, timely, secure, or error-free
Any Outputs or information generated will be accurate, complete, current, or reliable
Any defects or errors will be corrected
The Services are suitable for making financial, investment, tax, or legal decisions

You acknowledge that reliance on the Services and any Outputs is entirely at your own discretion and risk.

7.3 Limitation of Liability

To the maximum extent permitted by applicable law, budget ai shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including but not limited to loss of profits, loss of savings, loss of data, loss of goodwill, or business interruption, arising out of or related to your use of or inability to use the Services, regardless of the legal theory applied.

Where liability cannot be excluded under applicable law, the total cumulative liability of budget ai arising out of or in connection with the Services shall not exceed the total amount of fees actually paid by you to budget ai for the Services in the twelve (12) months immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow certain limitations of liability, so these limitations may not apply to you in full.

7.4 Indemnification

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless budget ai, its affiliates, officers, directors, employees, and service providers from and against any third-party claims, damages, losses, liabilities, and reasonable expenses (including legal fees) arising out of or related to:

Your breach of these Terms
Your violation of applicable laws or regulations
Your infringement of third-party rights
Your fraudulent, unlawful, or intentionally wrongful conduct
Your misuse of the Services

This indemnity obligation shall survive termination or expiration of these Terms.

8.Export Control and Sanctions

You acknowledge that your access to and use of budget ai, including the submission of information and receipt of outputs, may be subject to applicable export control, trade, and economic sanctions laws and regulations (“Export Control and Sanctions Laws”).

You represent and warrant that:

You are not located in, ordinarily resident in, or accessing the Services from any jurisdiction subject to comprehensive trade or economic sanctions where such access is prohibited by law
You are not listed on, owned or controlled by any individual or entity listed on, or acting on behalf of, any restricted or sanctioned party list under applicable Export Control and Sanctions Laws
You will not use the Services for any purpose prohibited by applicable Export Control and Sanctions Laws

You agree not to access, use, export, re-export, transfer, or make available the Services in any manner that would violate applicable Export Control and Sanctions Laws. budget ai reserves the right to restrict or terminate access to the Services where required to comply with such laws or governmental orders.

Nothing in this section requires budget ai to provide the Services in any jurisdiction where doing so would violate applicable law.

9.Governing Law and Jurisdiction

9.1 This Agreement is governed by and shall be construed in accordance with the laws of Hong Kong Special Administrative Region of the People’s Republic of China. The Hong Kong courts are to have non-exclusive jurisdiction to settle any disputes or claims which may arise out of or in connection with this Agreement for which purpose each party agrees to submit to the jurisdiction of the courts of the Hong Kong Special Administrative Region of the People’s Republic of China.

9.2 In the event of a dispute arising from the signing, performance, or interpretation of these Terms, the Parties shall make efforts to resolve it amicably through negotiation. If negotiation fails, either Party has the right to file a lawsuit with a court having jurisdiction over the location of the registered office of Mr Sausage Limited.

10.Miscellaneous

10.1 In order to provide you with better services or to comply with changes in national laws, regulations, policy adjustments, technical conditions, product functionalities, and other requirements, we may revise these Terms from time to time. The revised content will form an integral part of these Terms. Once announced, it replaces the original terms. Please refer to the latest version of these Terms on the official website. If you do not accept the modified terms, please stop using the Service immediately. Your continued usage of the Service will be considered as your acceptance of the modified terms.
